We reserve the right to modify these terms at any time. Your continued use of MIDI Muse after any changes indicates your acceptance of the modified terms.

MIDI Muse is an AI-powered music generation service that creates MIDI compositions based on user input. We provide this service on an "as is" and "as available" basis.

We may change, suspend, or discontinue any aspect of the service at any time, including the availability of any features, database, or content.

Some features of MIDI Muse may require you to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to provide accurate and complete information when creating an account and to update your information to keep it accurate and complete.

MIDI Muse offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay the subscription fees indicated for your selected plan.

Subscription fees are billed in advance on a monthly basis. You can cancel your subscription at any time, but no refunds will be provided for partial subscription periods.

We reserve the right to change our subscription fees at any time. Any changes will be communicated to you in advance and will apply to the next billing cycle.

Premium plans include a 7-day free trial period. You will not be charged until the trial period ends. You may cancel at any time during the trial period without being charged.

5.1 Our Rights: MIDI Muse and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Rights to Generated Content: You are granted specific usage rights to the MIDI files generated through our service based on your subscription tier:

• Basic Plan: Users may use generated content for personal, non-commercial purposes only. Any commercial use, redistribution, or public performance of generated content is strictly prohibited and will result in immediate termination of service and potential legal action.
• Premium Plan: Subscribers receive a limited commercial license to use generated content in their own projects, including monetized content. However, selling or redistributing the raw MIDI files is prohibited. Violation of these terms may result in account termination, legal action, and recovery of damages and legal fees.
• Pro Plan: Subscribers receive full commercial rights to use generated content without limitation, including in commercial products, performances, and compositions. Copyright ownership transfers to the subscriber upon generation. Evidence of active subscription may be required in case of copyright disputes.

5.3 Data and Training: We maintain the right to use anonymized patterns from your interactions with our service to improve our AI models. However, we do not claim ownership of your specific prompts or the unique compositions generated for you.

5.4 License Verification: We reserve the right to verify your subscription status if legal questions arise regarding the use of content generated through our service. We maintain secure logs of all generated content tied to user accounts for rights management purposes.

5.5 Feedback: If you provide us with any feedback or suggestions regarding MIDI Muse, you assign to us all rights to such feedback and allow us to use it without restriction or compensation.

You agree not to use MIDI Muse:

• In any way that violates any applicable laws or regulations.
• To infringe upon or violate our intellectual property rights or the rights of others.
• To attempt to circumvent any security features of the service.
• To engage in any activity that interferes with or disrupts the service.
• To automate access to the service beyond reasonable personal use.
• To use generated content in violation of the license terms for your subscription tier.
• To resell, redistribute, or commercially exploit generated MIDI files beyond the scope permitted by your subscription tier.

7.1 Limitation of Liability: In no event shall MIDI Muse, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the service.
• Any conduct or content of any third party on the service.
• Any content obtained from the service.
• Unauthorized access, use, or alteration of your transmissions or content.
• Service interruptions or data loss.

7.2 Indemnification: You agree to defend, indemnify, and hold harmless MIDI Muse and its licensors, service providers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your improper use of the service or any generated content;
• Your violation of any third-party rights, including copyright or trademark claims arising from your use of generated content;
• Any claim that content you created using our service caused damage to a third party.

7.3 Copyright Claims: We take copyright infringement seriously. If you believe content generated through our service infringes on your copyrights, please contact us immediately at legal@midimuse.com with details of the alleged infringement. We will investigate and take appropriate action, which may include removing the content and terminating user accounts.

We may terminate or suspend your account and access to MIDI Muse immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.

Upon termination, your right to use the service will immediately cease. If you wish to terminate your account, you may simply discontinue using the service or contact us to request account deletion.

Termination of your account does not release you from any obligations concerning content that you have already generated and used. The rights and licenses granted to you for MIDI content will be terminated, except as explicitly permitted in these Terms.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts located within the United States. You consent to the personal jurisdiction of such courts.

10.1 Data Security: We implement reasonable security measures to protect your personal information and generated content. However, no internet transmission is completely secure. We cannot guarantee the security of information transmitted to our service.

10.2 Content Retention: We retain records of generated content for the following purposes:

• To provide you access to your previously generated content;
• To verify licensing and usage rights in case of disputes;
• To improve our service and AI models;
• To comply with legal obligations.

10.3 Account Deletion: If you delete your account, we will remove your personal information within 30 days. However, we may retain anonymized usage data and records of generated content for legal and operational purposes.

10.4 Service Metrics: We collect and analyze usage statistics to improve our service. This includes monitoring generation patterns, feature usage, and performance metrics. This data is used in aggregate and does not personally identify individual users.
